Professional's Guide to Purchase and Sale of a Business is structured as a guide to lawyers and accountants who are advising clients in business purchase and sale transactions. It is not intended to be a treatise on accounting, contracts, taxes, or litigation in regard to business purchases and sales. Rather, the material sets forth the information that the professional advisor must be aware of in order to give competent advice to his or her client.

Although introductory, Chapter 1 offers important guidelines about the manners in which investigations are made and the way small business purchases and sales are initiated. Chapter 2 and 3 are a basic review of bookkeeping procedures, financial statements, and the manner in which financial statements are prepared. These chapters do not constitute a text on accounting. Instead, they are an introductory guide for nonaccountants, particularly lawyers, into the construction and meaning of financial statements.

Chapter 4, 5, and 6 are designed to guide the lawyer through the due diligence phase of the purchase transaction. Chapter 4 is a review of the business entity and those problems that are encountered in the verification of the business structure. Chapter 5 examines financial statements and related due diligence procedures. New material on computer problems related to the year 2000 has been added, as well as a new section on environmental controls. Chapter 6 is the investigation on behalf of the seller, which, of necessity, is simpler than the buyer's investigation.

Chapter 7 is a review of those considerations that are peculiar to the purchase of a franchise business. This chapter is primarily a review of the requirements of the Federal Trade Commission rules regarding disclosures in franchise sale transactions.

Chapter 8 is an introduction to the problem that are found in business buyouts. This type of transaction is one where one of the owners of a business is acquiring the business from the others. In this type of transaction, the due diligence requirements are relatively minimal.

This edition includes a new Chapter 9 that reviews some of the problems that are encountered in an intra-family transaction. Family dynamics are considered, and there is a review of some of the estate planning techniques that are currently included in some of these transactions.

Chapter 10 is a survey of the principal tax problems and considerations in regard to the acquisition of the business. While it is not a text on these tax matters, this chapter illustrates the common tax problems and considerations that must be reviewed during a business acquisition. Chapter 11 deals with the tax consequences of the collection of the sales price and is slanted toward the seller. Installment sales and corporate reorganizations are discussed. Chapter 12 considers the tax consequences to both the buyer and the seller when full payment of the purchase price is not made. Bad debt losses and real estate foreclosures are two of the problems that are reviewed.

Chapter 13 is an introductory discussion of litigation in failed purchase and sale transactions. A brief review is made of the available remedies and alternatives to litigation.

Chapters 14 and 15 are illustrated agreement forms. These agreement forms are annotated with a discussion of the reasons and purposes for each of the clauses, as well as observations and cross-references to the other chapters. New forms have been added that cover computer problems related to the Y2K issue. The forms in Chapters 14 and 15, all of which are easily adaptable to a particular transaction, may also be used as checklists for determining whether the documentation of the transaction is being adequately covered.

Still other chapters reveal the chaos created by the Civil War on the lakes, the destructive mining strikes of Michigan's Upper Peninsula, and the tragic, bloody, Fenian invasion of Canada.

Between major calamities lay the vagaries of maritime life on the Great Lakes detailed in the records of the Michigan's crew. From their social and community life in Erie, Pennsylvania to storms, shipwrecks, and sickness, the records kept by the men and officers of the USS Michigan have helped to produce in this book an accurate and detailed narrative of naval and maritime life on the Great Lakes during this important period.

During the course of it's duty ship and crew engaged in battling lumber pirates, The Mormon tyrant (King) Jesse James Strang of Beaver Island as well as Miners and conflicts associated with the Civil War.

An excellent book about episodes in Michigan History that are often times overlooked.

I didn't read this book, I got it for my boyfriend and he absolutely loved it. If you enjoy stats you'll love it, I couldn't get him to put it down for dinner.
My only problem with it was that it was the 2006 edition, which I assumed would include stats from this past year but it only covered up to 2005.
Other then that it's great.

I bought the 2006 edition of this book automatically, as I have for a number of years. I am extremely disappointed with the totally revised content, as I find it much more difficult to use. While it would seem logical to group the records together as done in the new volume, it just doesn't work for me. The old layout of team info, with each team starting at the top of a page, has been junked, and the results are not pretty. Furthermore, this is now just a record book; the old "facts" sections, including a review of the preceding season and a preview of the new season, have disappeared. I'm keeping my 2005 edition and trashing the 2006. I hope Sporting News comes to their senses and arranges the 2007 edition like the 2005 and prior editions. "It wasn't broke, but they 'fixed' it anyway."

Maybe Lila is being framed for the fire, but she certainly is guilty when it comes to her unprofessional relationship with Steven.

Part of Fowler Crest has burned down in a fire- and too much evidence against Lila is starting to look suspicious. Since her parents are away with no way to contact them, Lila becomes vulnerable, looking at Steven as a knight in shining armor when Steven is supposed to be investigating the case. How could Steven become so attracted to spoiled Lila, even if she is so seemingly helpless?

Okay, so that was a dumb little fling between them, but the book was exciting. Aren't most of the SVH books? When so much evidence started pointing at Lila, I almost believed she was guilty. Maybe that's a little farfetched, but it didn't look to good for her.

If you're looking for an in depth, soul searching book, perhaps this book isn't too well suited for your needs, but if you're like me and have enjoyed reading this series, read this one too! It's full of excitement and action!

"This was a library book I checked out for Lisa when she was 4 and 1/2 years old. She loved it so much she kept putting off taking it back and one day 'could never find it again'. Later, she told me she hid it and by then I had paid the library for it. Her most favorite book then and for a long time."

I bought this book due to the great reviews given by readers, but I cannot see what they are so excited about (Maybe they were the author's friends). The photographs are really poor (blurred, poorly lit) and only a few are in colour. I would have expected at least a clear description (with images) of the different colours Maine Coons available, but again here were only written descriptions. The text runs on an on with no apparent point to make. This was clearly written for purple haired ladies who attend cat shows and go on and on about standards, not a cat enthusiast who would like to learn and appreciate a specific breed.
