Book Description
From being a subject at the margins of finance, economics, accounting, law and management, corporate governance is now becoming a subject of more central concern to each of these disciplines, and increasingly is regarded as a subject that is at the heart of business and management studies. This book brings together the most influential writing in corporate governance drawn from finance, economics, accounting, law and management in an integrative and interdisciplinary way. br br Intended as a companion volume to International Corporate Governance that surveys the global development of corporate governance policy and practice, this book Theories of Governance provides a valuable grounding in the classical theories underpinning contemporary analysis of corporate governance: br br * The origins of the modern business enterprise br * The separation of ownership and control br * How economic activity is organized through firms br * The managerial revolution in business br * Agency problems of managers representing investors br * Risk management and the conception of the company as a series of transactions br * Shareholder value as the ultimate objective and measure of corporate success br * Managerial hegemony and nominal boards of directors br * Stewardship theory and company board performance br * Stakeholder theory and the conception of the company as a set of relationships br * The globalization of corporations, equity markets, and corporate governance br * Convergence and divergence in corporate governance systems br * The impact of corporate objectives upon corporate stakeholders

A complete collection of corporate governance theories.......2006-03-24
Thomas Clarke's most recent book is extremely interesting for students, practitioners and scholars.
Managerial hegemony, separation of ownership and control, agency theory, stewardship theory, stakeholder theory: the book contains excerpts from the most important articles which have contributed to the corporate governance debate.
Professor Clarke accompanies the readings with a long introduction in which he revisits and re-organizes the numerous theories. His approach in unbundling the 'governance mystique' is to insert the different thoeries in their historical, economic and regional context.
Often the Author only hints to his personal views, although these appear obvious towards the end of his introduction.
Can we really move towards a stakeholder theory? Does not the stakeholder theory operate at a different, policy-maker level, compared to the agency theory / corporate law level? Can directors really have a fiduciary duty not only towards shareholders but employees/stakeholders as well? What role can social capital and trust have in the future? Can ethics 'save us'?
The book is great reading, a fine synopsis of the current debate. I firmly recommend it.
Book Description
Corporate finance is the area of finance that studies the determinants of firms' values, including capital structure, financing, and investment decisions. Although there are several excellent texts in corporate finance, this is the first to focus on the theoretical foundations of the subject in a consistent and integrated way at the Ph.D. level. In addition to a textbook for advanced graduate students, it can also serve as a general reference to researchers and sophisticated practitioners.
The material presented is carefully selected with an eye to what is essential to understanding the underlying theory, ensuring that this text will remain useful for years to come. The book is divided into three parts. The first section presents the basic principles of valuation based on the absence of arbitrage, including a discussion of the determinants of the optimal capital structure based on the seminal results of Modigliani and Miller. The second section discusses the implications of agency problems and information asymmetries to capital structure, giving particular attention to payout policy and to debt contract design. The concluding portion presents different ways of restructuring capital, including going public, going private using stock repurchases or leveraged buyouts, and mergers and acquisitions. Each chapter includes exercises that vary in difficulty, with suggested solutions provided in an appendix.
This book will assuredly be the standard doctoral- and professional-level explication of corporate finance theory and its appropriate applications.
Customer Reviews:
Very Good Theory Book.......2005-08-21
This book is intended for doctoral students, and is one of the better books on the topic. Although admittedly there are only a few books in this category, the advance treatment of the relevant concepts (capital structure, dividend policy, etc.) are done with clarity. You would need a solid background in corporate finance before you are able to tackle this book. On the other hand, the mathematics is not too difficult.

Book Description
This book conducts a survey into the ways in which the word 'network' has been deployed in a wide range of literature. In particular, it offers a commentary on how the idea of networks has been used to illustrate contemporary forms of socio-economic organization broadly conceived to also
include the political aspects of networks. The book brings some intellectual clarity to the discussion of networks by asking whether it is possible to construct a clearly demarcated idea of a network as a separable form of socio-economic coordination and governance mechanism with its own consistent
logic. In doing this, the primary contrast is with hierarchies and markets as alternative and already well understood forms of socio-economic coordination each with their own distinctive logic.

Customer Reviews:
Return to Previous Edition .......2007-02-28
Moore and Persaud have a great book in the Sixth Edition. I think the 7th edition was put together by a mad computer scientist who was unable to coordinate text with graphics, and mixed up overlays between illustrations. With that said, I would purchase and use the sixth edition for test prep and review. It is a standard, excellent text, and the first seven chapters give a easily readable blow by blow of the developing human. Toss the 7th Edition; use it to warm your hands by the fire as you go back to the sixth edition and learn something. My .02.
Quite possibly the worst text I have ever owned........2006-11-27
Although the information in the book is extensive, the organization makes it quite difficult to learn. The publisher would do themselve a favor to reorganize the book such that diagrams are readily available with the corresponding text, and to supply more thorough labels. There are typos in the book; unacceptable for any medical text.
Well written and great resource for experienced readers.......2006-08-15
This is an excellent embryology text IF you already have some background in medical anatomy, morphology, or embryology. Otherwise I reccomend "Before we are born" by the same authors. Same information but less dense and more easily read by a lay audience. The Developing Human is a very dense text and it has excellent clinical correlations in each chapter. This is a book intended for medical or graduate students, so be pack your lunch before sitting down to go through a chapter. I like the illustrations, but some of them (the cross sections) will require a bit of mental gymnastics before they become clear - but once you get it, they are a very helpful way to understand how the 3D structures are being represented. The new edition has expanded some chapters, simplified SOME of the concepts, and most importantly, it keeps current with new developments in the field and nomenclature. I teach medical gross anatomy, embryology, and musculoskeletal system courses to first year medical students.
ok.......2006-03-27
this book has many illistrations, however, they are difficult to understand and many are pages away from in info being discussed, also this book requires a strong anatomy background
Great condition.......2005-09-26
Book was sent in timely manner and in great condition just like described.
Book Description
This popular text makes it surprisingly easy to gain an in-depth understanding of human embryology. Engaging and richly illustrated, it examines all aspects of human development, emphasizing both basic concepts and relevant clinical problems. The book presents a week-by-week and stage-by-stage view of how fetal organs and systems develop, why and when birth defects occur, and what roles the placenta and fetal membranes play in development. The comprehensively updated 8th edition comes with access to the complete contents online via Student Consult, plus 18 phenomenal embryology animations, additional review questions and answers, and more.

Book Description
Explains the science behind the practice of nei kung, the elemental nature of yin and yang energy--the two components of ch'i, and how learning to control the yang energy in our ch'i can result in the release of dynamic energy.
• Establishes the existence and understanding of nei kung in the practices of many of the world's ancient cultures.
• Includes a step-by-step guide to the meditation that forms the basis of the practice of nei kung.
• By Kosta Danaos, author of
The Magus of Java and apprentice to an immortal of the Mo-Pai tradition.
In 1994 Kosta Danaos was accepted as a student by John Chang, a Chinese-Javanese Taoist in the Mo-Pai tradition and a master of
nei kung, the practice of harnessing and controlling our body's bioenergy, or
ch'i.
Nei Kung: The Secret Teachings of the Warrior Sages describes the practice of nei kung and how learning to control our ch'i can result in the release of dynamic energy that can be used for healing, pyrogenesis, telekinesis, levitation, telepathy, and more.
Danaos suggests that both components of ch'i--yin and yang energy--are fundamental to the earth and to life and were recognized and used in many of the world's ancient cultures. Though we have forgotten how to access them, these components are in fact elemental parts of us. The author explains that we first must open our minds to the fact that the power of ch'i is real. Next, in learning to control our ch'i as a whole, we must learn to channel our yang energy in productive ways--a potential we all possess. To help readers understand their capacity to connect with this inner elemental power, the author offers a fascinating blend of teachings that include sound scientific theories explaining much of the "magic" of nei kung. He also offers historical, linguistic, artistic, and literary proof of the presence and understanding of nei kung throughout the ages and a step-by-step introduction to several types of simple meditation--fundamental to directing one's ch'i.
With his engaging storytelling and disarming humor, his physics-based explanations for seemingly mystical phenomena, and his reassurances that he's really no different from the rest of us, Kosta Danaos shows us that once we remember our capacity to harness our yang energy, we can change ourselves and our world.
Customer Reviews:
One of its kind.......2007-04-19
Amonst so many books on Nei(inner) Kung & external Kung,
this book perhaps is only one I saw in my entire life
that has scientific explanations/definitions/observations
on Chi, Kung, etc.
Many practitioners do not have author's keen scientific eyes/
attitude on this subject.
This may not be the best text to learn it,
but certainly very informing one
and I don't think we can get anything like this in the market
for very long time to come.
Hope he come up with 3rd book soon.
J. Park
No secrets.......2007-03-22
I have a lot to thank Kosta for. I was able to find his master after reading his first book. However his latest book does not share the secrets of the warrior sages. Rather it gives Kosta's philosophy about life and , it is easy to read and entertaining and I share his hope that more and more people through whatever meditation they come into contact with, will evolve and bring mankind to fulfilment.
Brilliant book - misleading title.......2006-02-20
Considering the fact that the title chosen by the author was "the forgotten side of ourselves" and that the publisher changed it, promising through it something that never was Danaos`intention; a manual for nei kung practise.....explains a lot and should put the content of the book in a new light....
Danaos`intention
the comparison of different cultures in search of universal principles is absoluteley brilliant.....
Nothing here.......2006-01-08
Short and sweet.
When a book has the words "The Secret Teachings of..." in the title and then includes no teaching inside... you have yourself a bad book.
I read this book and his first book twice each. I wish I had spent that time doing anything else.
Internal energy.......2005-10-31
This is actually a response to some prior reviews. No responsible person would reveal sophisticated interal energy practices in a book. This is in part because such practices are dangerous. The accumulation of energy and movement could cause great harm if done incorrectly and if done to someone who has not cleared emotional blockages and etc. The most common example would be the accumilation of energy in the head, which can cause people all kinds of mental and neurological problems.
Simply, these practices are not for everyone. It probably takes a year to learn to release and open up to your inner meridian system, strenthen your body, focus the mind, sensitize one to increased energy and etc. One really needs a teacher to evaluate the student and work with a student. The process can be slow and requires a lot of attention and discaplne and etc. A responisble person may reveal things about the teachings but not the teachings themselves. Beleive me, its for peoples own good.
I don't want to be discouraging, but a person has to learn how to walk before they can run. A professional weight lifter begins their carear with light weights and over times builds their body up.
There are a number of people in the US teaching chi kung (internal) and other related taoist or eastern energy practices. If you are inspired by the book, go out and search for a teacher and dive in. Remember however, that it years of practice and big time self discapline to make significant progress.
What do you want? A better experience of life? To share your love and appreciation? Love your body, love your mind, love your soul.
Best wishes!

Jessica's Simpson Fan.......2007-03-21
I'm from Mexico and I it was very difficult for me to find this book in San Antonio. When I found it, I really liked it. Not only for the tips she wrote, but also for the pictures. I recommend it if you are a Jessica's Simpson fan.
Ummmmmm...........2006-10-14
I wonder if she's going to "write" a second book called "Jessica Simpson I Don't: Achieving Your Dream Divorce".
GREAT.......2005-12-20
My mom bought this book it's real great. A treasure . Y'all should buy it especially for newly or pre-weds.(even though it didn't help me too much cuz i'm not married or planning to be).
No More Happily Ever After.......2005-12-11
I'm writing this after the news that the couple have split.
The book itself is beautiful - the pictures, the quality etc. I was dissapointed to see Jess didn't offer more commentary but the gorgeous pics make up for that.
Jess is selling a dream in this book - but now they have split I can't quite trust in their 'happily ever after' theme.
The DVD (if you can get it) is ok - I would have liked a bit more on it for what I paid! its quite similar to the one on the Special edition 'In Ihis Skin' album so i would't be too worried if you don't get it.
Its a good book - but is it really worth it now the couple are no more?
Sad.......2005-11-28
I actually feel sorry for Jessica. She reminds me of Jennifer Lopez in that she is always striving one way or another to get the attention of the public, regardless, of how it affects those around her. This book is another self indulgent compliment to her narcisstic self as the book cover confirms. Personally, I don't find her really that beautiful. I can't help feeling Nick felt ripped off marrying this doll of the media. Good luck to them both. What happens after the dream wedding is achieved? Will they both live happily ever after in their day-to-day regular life as a married couple? I guess we all know the answer.

Trial of PE3.......2005-03-30
For the gentleman who post the review below about not getting a trial version of the software with the book, others who are wishing to try it out do not need to look elsewhere if their copy does not come with a trial version. One can simply go to adobe's website and download any of their products for a 30 day trial period! - I personally do not own these book, I own two of Scott Kelby's books, I highly recommend those and purchasing PE3.0 it is a very powerful consumer-level digital photo editing tool and much more!
***** I had to rate this item to post this message, Please disregaurd my rating as I have not read this book Thank you.*****
Easy to Follow Projects.......2005-03-20
When I get a new piece of software I always like to try to see what it can do. This book gives 17 projects that use a lot of the features of Photoshop Elements 3.0. The projects are step by step and easy to follow. Once you have gone through the projects you have a real good idea what Photoshop Elements 3.0 can do and you end up with some spectacular results.
All You Need To Complete 17 Easy And Fun Projects.......2005-03-02
Idea Kit is a good name for this book which includes everything you need to complete 17 easy and fun projects. All you need to provide is your own photos. The author, Lisa Matthews, provides you easy to follow, step-by-step instructions and demonstrates several techniques for Adobe Photoshop Elements. The accompanying CD has many project templates, textures and borders.
Matthews begins with a short introduction to Photoshop Elements' Photo Browser, Organizer and Creation Wizard. She then discusses common image corrections such as red eye, color casts, backlighting and cropping. Now that your photos are perfect, you are ready to start the projects.
In the first few projects, Matthews shows several ways to manipulate your photos by altering the background in a photo, changing a color photo to black and white, adding borders to your photos and using Photoshop Elements' painting tools to create some very interesting effects. She demonstrates how to use the software's Photomerge feature to create a panoramic image by combining several photos. Finally, she shows you how to create a collage by blending several images together.
In the next few projects, Matthews demonstrates how to print one photo in several sizes using Photoshop Elements' Picture Package and a Jewel Case/CD cover project using the Contact Sheet feature. Matthews also demonstrates Photoshop Elements' built-in PDF Slideshow and Web Photo Gallery features. Other projects use the many templates stored on the CD including a newsletter and photo transfer project. Finally, you use Photoshop Elements' Creation Wizard to make a postcard, poster, calendar and scrapbook pages.
Lisa Matthews is a commercial photographer and teaches photographic workshops. She also works for Adobe Systems creating demonstration and instructional materials.
Software not included.......2004-11-24
I agree with the editorial statement, "Best of all, the companion CD includes ... and a trial version of the software". However, my recently arrived copy does not include a trial of PSE 3.0.
I look forward to working my way through the book but first I have to buy the software! I was 90% sure that I would end up purchasing PSE 3.0 anyway so this is a somewhat minor annoyance.
For those of you who wanted to try PSE 3.0 before shelling out $100, look elsewhere.
