Book Description

Will the early years of the new century continue to witness the huge growth in merger and acquisition activity which marked the end of the last? The chances are that they will - witness the value of deals carried out by the top five investment banks in the first quarter of 2001 alone ($456.2 billion). The quest for the golden fleece is alive and well. Will the majority of M&As continue to fail to achieve their potential value? This book is about breaking out of the cycle of grand strategy, great prospects, poor implementation, lost opportunities. The authors believe that it is possible for M&As to realise their value - and more.

Bringing home the golden fleece involves more than just setting sail in quest for riches. It's about understanding the destination/end game, and working out the most appropriate route. This book has been written with the practitioner in mind, with the thirteen chapters split into three sections. The first section provides an overview of the merger process and outlining the key elements of success. Section Two focuses on the nuts & bolts of managing the integration process - from transition to full integration. Illustrated by a detailed case study of Articon Integralis AG, the leading supplier of IT Security Solutions and Services in Europe. The final section looks at the themes that can make or break mergers - creating the culture of the new organisation, communications, retention and the roles of line managers and HR. Each section is supported by checklists that should be helpful whether you are a novice at the merger game or an expert.

Contains tools, recommendations/checklists designed to help practitioners survive and thrive in a M&A situation.
Supported by a wealth of acclaimed research & case studies conducted by Roffey Park. One core case study Articon Intergralis is followed throughout the book plus other examples from global companies including Citicorp, Deutsche Bank, BP Amoco and Siemens.
User-friendly guide to M&A's which will be helpful to not only the core audience of HR professionals but CEO's, transition teams, line managers and anyone who wants to understand how to make mergers work.

5 out of 5 stars REAP THE BENEFITS OF THIS GREAT BOOK!.......2005-04-20

This book explores different aspects of the mechanics of a merger, but focuses on how to build the intangibles which ensure success. Written for practitioners, it suggests tools and approaches. The authors point out classic merger pitfalls, give an overview of the merger process, and spotlight the key elements for success: getting the business strategy right and understanding what needs to be managed on the people side. Primary topics covered include: business strategy integration; managing the planning and implementation process; building a culture that supports the business strategy; structuring the organization; placing people in the right jobs and retaining them; and integrating systems, including information and people management systems. Comprehensive, rich in content, and superbly organized. A great buy!

BUY THIS NOW. Study it wisely. Dr. S. Betances and his team have developed a unique form of communication that permits him to discuss the subject matter of our national conscience i.e., race and diversity of thought throughout every level of our institutions, to audiences with astounding results. "THE TRUTH WILL SET YOU FREE," is what his audiences have experienced as he teaches the alphabet of Respect in the context of groups, teams and organizations to people throughout our nation and in 17 other countries. This unique insight into human communication has made Dr. B. a guest to Presidents of Nations, Generals of Armies, CEO's of Fortune 500 companies, leaders of eduation as well as organized religion.

In this tape series, Dr. B. answers FAQ's about leadership, qualified personnel, and diversity of thought in the workplace. Even more, he compares and contrasts legal programs that exist for protected classes and diversity of thought throughout every layer of the organization and its benefits. Companies who practice diversity of thought at all levels of their organization meet legal requirements, send a strong signal to every employee that your work matters and opportunities of training will be given to alland promotions will be given to those who have earned it and are most qualified, and that this organization understands that keeping its employees and the bottom line advantages that come from diverse thought at every level germinate the creative thinking to reach into markets that are full of smart consumers, like women and other non-traditional groups.

Lastly, these tapes provide THE SYLLABUS for the practicing administrator or the would-be trainer. In these tapes you will receive sagacious advice on how humor can be used to talk about the situations we need to laugh at in order to move ourselves forward. I believe that Dr. B. is the best at this form of humor. In the most freeing experience, Dr. B. goes on to tell listeners that white males cannot be used as targets for aggression and everything else that has happened wrong to people. White males, Dr. B. informs us, are responsible for getting us to where we are: "They have made the most visible, accountable, and stressful contribution in all of history." God Bless Dr. Betances and AMEN. There is more in his tapes. Dr. B. leave us with a bit of advice: that the trainer/consultant must be obsessed with reading and information. He provides magazine and book titles that have inspired him.

Good luck. BUY THE TAPES. You won't regret it.

1 out of 5 stars Waste of a Server Administrators Time!.......2001-05-31

This book is not what I have come to expect from a Resource Kit. There are no procedural steps telling you HOW to do something. All of the information is very abstract. For example (page 317): "The site development process consists of the following steps: 1. Port Web pages from Site Server to Commerce Server." And that's it. They don't tell you HOW to do it. Here's another good one that's been driving me crazy and wasting my time (page 327): "You use the Membership Migration tool...to migrate membership data from Site Server to Commerce Server." That's really nice. HOW do I use this tool. I found it in the SDK directory, but it tells me nothing about actually using it.

This book is for an upper management type who needs to look like they know what they're talking about when conversing with their administrators. That way they can say "how's it going with the new Commerce Server?" And I can say, "well I'm stuck right now on migrating our membership data". And he can say "well all you need to do is use the Membership Migration Tool, they gave it to you in the resource kit". And I can say, "Oh, really it's that simple hay? Well here you go, here's the tool, please show me more!"

1 out of 5 stars Hurry up Wrox!.......2001-03-13

Read this book so you can be reminded to store your production servers in a cool, dry place. You'll also learn that a web server typically accesses information from a database server.

... As always, find out what you can on your own and then wait for a Wrox book to come out.

                          3 out of 5 stars Not The Developer's Edition.......2001-03-07

I returned this book today. I'd hoped that it would be similar to Marco Tabini's "Professional Site Server 3.0 Commerce Edition", which was loaded with examples, code, and how-to's. This book is not for the developer who will be building CS2000 web sites and needs to get up and running with the ASP code, site logic & code encapsulation used by CS2000. There are only a few snippets of code here and there and they relate to SQL server & BizTalk. This book does provide an good overview of the many features of CS2000, with some depth & explanation on a number of it's features. This book would probably be very useful to IT manager at a midsize to large company who is evaluating various e-comm solutions.

The author, Mr. Weinzimer, takes some esoteric subjects and makes them easy to understand and follow. This should be required reading in business schools in this country. This is one of the few books I have read in which a practitioner has had the skill to clearly communicate his thoughts, theories and practices. In the words of the author, "I dig Phi Sig."

5 out of 5 stars Excellent Templates for Communicating about Customer Value!.......2000-08-27

Customer-oriented books are very common, and they differ primarily in how compelling the examples are. This book is different. It focuses on creating a communications climate in which everyone in the organization will have a clear perception of the most important areas for serving customers and what must be done to improve in those areas.

The biggest strength of the book is in the how-to areas of surveys and workshops you can use to understand what employees see now, what the market and competitive circumstances are, and how to create and implement improved methods. These are covered with detailed templates that you can easily customize to match your own circumstances.

The book itself is organized into three subjects: Preparing the workforce; perceiving your marketplace; and providing superior value. This is an important ordering. Many people start with perceiving the marketplace, then find ways to provide superior value, then work on preparing the workforce. By going in this order, the organization will achieve more and better insights, speed the process, and vastly improve implementation.

Some of the individual chapters are very worthwhile on their own. I especially liked chapter 3 on introducing change.

I also endorse the idea of repeating the process, as described in chapter 10.

The key weakness of the book comes from the lack of cutting-edge methods for developing improved business models. Those have become critical. This book is more likely to create evolutionary change than breakthrough gains. But in many companies solid evolutionary change would be a big improvement. But don't stop here! Then prepare for the next step of becoming an innovation leader!

Be sure to expand your ability to imagine and innovate as your primary function! Be sure to overcome the communications stall that bedevils so many organizations to help you do this.

There are many "how-to" business texts, nowadays. Often they are theory. This one is written by an expert with hands-on experience.

5 out of 5 stars Practical and realistic view of organization transformation.......1999-08-21

"I especially liked the practical bias of this book with its workshop style approach. This is refreshing in comparison to the intellectual abstraction which is so common in most of todays management books."

4 out of 5 stars Great book! Easy to understand, with many practical examples.......1999-08-13

This book was a quick read, yet filled with practical insights into organization behavior and more importantly, many useful tools -- tools I immediately put to good use. In particular, I believe the book's one-day workshops will be instrumental in helping transform organizations and enable the value-added processes to really focus on our customers.

I believe almost all organizations could benefit from this book ... I just hope my competitors don't realize that too soon ;)

                                Book Description

Using simple economic methods while accounting for political and institutional factors, this book puts forward a political economy viewpoint of NATO's current status and its future prospects. A host of NATO policy concerns are addressed including the optimal membership for the alliance, its role in peacekeeping missions worldwide, the appropriate methods for deterring terrorism, and proper procurement practices for the next generation of weapons. Additional topics concern defense burden sharing, arms trade, NATO's institutional structure, and NATO's role vis-a-vis other international organizations. Although the analysis is rigorous, the book is intended for a wide audience drawn from political science and economics.

                                4 out of 5 stars Good Analysis.......2000-10-23

"The Political Economy of NATO" is aimed towards a broad audience. It is a comprehensive analysis that students of both international relations and economics will understand. Although there were parts that were a bit akward and points reiterated quite a few times throughout, it provided me with a better understanding of burden-sharing, free-riding and the advantages and disadvantages of NATO expansion. I found the economic models to be interesting and helpful as well as the charts relaying information on budgets and accounts. I'm not sure if the cost of the book if worth the actual read, but if you know anyone who has this book or if you can get it from the library, I would recommend doing so!

3 out of 5 stars The authors fail to provide a rigorous analysis of NATO.......2000-10-12

This review comes by way of The Independent Review (Fall 2000)

Todd Sandler and Keith Hartley claim that The Political Economy of NATO "presents conclusions based on rigorous analysis rather than ideology" (p. xii), but the book clearly exhibits a bias toward retaining the North Atlantic Treaty Organization (NATO) and expanding its missions...

The authors' pro-NATO bias is demonstrated by two conclusions: first, "That NATO must redefine itself and demonstrate that it still has a strategic role to perform if it is to survive during the post-Cold War era"; second, "NATO security must take on a broader definition in the post-Cold War period to include the protection of the environment, resource supply lines, and informational assets" (p. 251)...

Despite Sandler and Hartley's less than convincing analysis of how NATO will help combat the "new" post-Cold War threats, including terrorism, the section on the economics of terrorism is excellent. Sandler and Hartley note that terrorism is difficult to stop because terrorists incur less cost than the targeted country. The government of the targeted country must defend against all types of attack at multiple venues, but terrorists can strike the location that will minimize their cost, where government defenses are weakest. If the government improves the defenses against one type of threat, then terrorism, like water, will flow down the path of least resistance. As an example, the authors note that the fortification of embassies reduced strikes on the buildings but increased more lethal attacks-assassinations of diplomats outside the fortified areas...

Sandler and Hartley also correctly conclude that the law-enforcement model (sharing intelligence and apprehending terrorists) is preferable to the military model (retaliatory strikes) when fighting terrorism. The authors note that President Reagan's military strike against Libya in retaliation for a terrorist attack merely generated more terrorism in response, but they fail to extrapolate that effect to U.S. military action in general...

The informational content of the chapter on NATO's defense industrial base is good, but the chapters on NATO expansion and alliance burden sharing leave much to be desired. In the chapter on NATO expansion, Sandler and Hartley make logical errors, mischaracterize research, and fail to include important published data...

Similarly, in the chapter on burden sharing, the authors distort the issue. Although they make the keen observation that the alliance defense burden will be increasingly skewed toward the larger nations as NATO's primary mission becomes peacekeeping and out-of-area operations, their quantification of U.S. benefits from the alliance are grossly overstated. Based on population, gross domestic product (GDP), and exposed borders, the authors assert that the United States and Canada would derive, by far, more benefits than any other nations in the alliance. Yet the Europeans live near any potential threats, and the North Americans do not. North America will help defend Europe, not vice versa. In a post-Cold War era, when the threats are low and the allies are rich, Sandler and Hartley should have devoted more attention to the important question that they avoid: For the United States, do the net benefits of staying in NATO exceed those of its withdrawal?

                                3 out of 5 stars nato terrorism.......2000-05-25

This book is an excellent source about telling every peace man how structure is causing threat to human rights and remain the far most terrorist organisation at the coming time.

                                    Book Description

European monetary unification has produced a $15 trillion windfall to its member nations that is rarely discussed or accounted for in analyses of economic integration. Edmunds and Marthinsen argue that the reduction in cross-border risks--foreign exchange uncertainty, inflation differentials, competitive devaluations, and protectionism in financial services, among other--is directly responsible for an explosion in the value of fixed income assets and share prices. They explain how this wealth accumulation began to accrue even before the Euro was formally adopted. Could the same thing happen in Latin America or Asia? Elegantly written and cogently argued, this book explores the ramifications of currency unification for each region in three scenarios: partial unification, dollarization, and full unification. The authors compute the increases in wealth created by these various levels of currency unification, provide spreadsheet models that examine the connections between the growth of financial wealth and real economic growth, and emphasize differentials in economic wealth among regions with time series maps that "resize" nations according to equity markets rather than geography.

5 out of 5 stars Shows the way toward a Single Global Currency.......2003-12-27

In "Wealth by Association" John Edmunds and John Marthinsen show how the world can move forward to a single global currency. Not only will such a world save on the hundreds of billions of dollars annually wasted today on foreign exchange trading transaction costs, and on avoided currency crises and on avoided currency inflation; the assets of the world will grow because of the elimination of currency risk.
If the decision makers of the world could read this book, they would push much more rapidly toward a single global currency. The concepts in "Wealth by Association" are not rocket science, as the authors show how the U.S. Dollar and the old German Mark are/were "common currencies", as is now the euro.
                                    Bravo for "Wealth by Association"
