The book contains some useful examples and case studies but overall feels like advertising for author's valuation website.

I was contemplating buying a small sales and service business from the owner where I worked for several years. Axiom's book and resulting suport helped me decide not to buy the business or spend any extra money on evaluation fee's or accountants and lawyers. They recommended that I would be better off investing my money in my own start up and indeed this is what I did.
I found the book well organized and it points the reader to the appropriate section based on the valuation needed.
The case study method was very straight forward with specific financials and valuation results.
The book gave me an understanding of the discounted cash flow method and why it is best.
After reading the book I called Axiom and after the free consultation I was advised that in my case the evaluation was not warranted as the company only had liquidation value and was not a going concern.
I would recommend that if you are selling or purchasing, read this book first and by all means get your free consulation.

There is one and only reason that these people wrote this book, and it is to promote their website, that does business valuations, www.bizownerhq.com. It's funny, because I went to this website once, but it was really confusing. The book, however, isn't confusing.

Basically, their service is a $600 online business valuation where you type in your financials and answer an online questionnaire, and it spits out how much the value of your business is.

However, they do provide a lot of content. And, this has some excellent stuff in it. It's mostly financial content related to maximizing the value of your business in a sale. But, that's the kind of thing that you really need if you're selling a business.

I think that most business owners will probably pick up this book too late. The book recommends that you start your preparations to sell at least 3 years before you actually want to sell. This is targeted toward small business owners, and I've never met a small business owner who really plans that far in advance. Most people like that become medium-sized business owners very soon after they start planning.

One weird thing about the book--the appendices are included after every chapter. I would recommend that you skip over them--they just regurgitate what was in the chapter. I wish they would have been all lumped into the back of the book, like they are with most books. I like to read books all the way through, and so having an appendix after each chapter was distracting.

i'm a potential buyer of business with some knowledge of the overall process including valuations after reading Robb's excellent but outdated book on business. I thought i needed to know more about the valuation aspect. However while usefully illustrating the vagueness of the process, this book by Feldman accomplishes nothing substantive other than free advertising. Their dismissiveness of some types of modelling with a continual substitution of their own process, which they do not explain & is i suspect subject to similar criticisms, is patronising. All models have problems & they need to recognise this, as the basic tools used to arrive at complex formulas are common to all.

There are some examples which make you feel comfortable & in touch with reality, useful for one scared by the financial process, but too much is repetitive, & really really this can all be condensed. For those who want the condensed version here goes:

"Plan your business methods well before sale date. Minimising tax also decreases value, because earnings appear to be lower. There are flaws with earnings multiple based valuations. By contrast, & see the appendix to every chapter, our online system is flawless but we're not going to explain it. Brokers also cost more than our system. Go online & buy it."

I know this book has been given 5 stars, but if you have any knowledge at all or are averse to advertising at your own expense try another book first! Whatever happens you should definitely buy another book after you have sampled this one.

Some good information, like explaining Discounted Cash Flow Approach (DCFA), but the constant sales pitching of their valuation service made me question their objectivity.
All-in-all, I wouldn't buy it again.

                      This is a well written book that does a nice job of covering all of the basic chapters underwhich a debtor may seek relief from creditors under the United State's Bankruptcy Code. This is a good choice for students with an interest in general bankruptcy. For a book that is dedicted to Business Reorganizations under Chapter 11, I recommend.Chapter 11 Business Reorganizations: For Business Leaders, Accountants And Lawyers. These books are so fairly priced, I would get both.

                      3 out of 5 stars Disappointing, chapters poorly organized..........2003-11-05

                      This book addresses all the right topics. That's why it gets three stars.

                      Unfortunately, each individual chapter is so poorly organized that it's hard to follow the author's argument. The author's style is simply too discursive, too casual. Topics that should be divided by a subheading blend together. Where does one thought end and another begin? Typos further distract the reader. See for instance page 136, "The insolvency test is based on the idea that when a firm's assets are greater than its assets..." The word "liabilities" should replace one of the "assets" in this sentence. Lastly, the author, an academic, cites all sorts of cases that might have pedagogic value or be of historical interest but which have been qualified by subsequent judgments. They are no longer leading cases and, so, this book is of limited value as a desk reference.

                      If you are a lawyer, I would recommend reading the legislation instead of buying this book. Chapter 11 is only about 100 pages (with annotations), half the length of this book. Other Chapters of Title 11 are even shorter. You can download the Bankruptcy Code for free along with the rest of the US Code if you are so inclined.

                      Marvin Chirelstein's text on income tax (also from the Concepts & Insights Series) does a much better job of introducing the reader to sophisticated subject matter. I give it 5 stars.

                      5 out of 5 stars Outstanding introduction to bankruptcy law.......2002-10-05

                      At once rigorous yet lucid, comprehensive yet short, this is one of the best introductions to bankruptcy law out there. The author masterfully surveys the case law and the logical structure of each of the key areas of bankruptcy law.

                      One of the best features of the book is its structure of individual chapters dedicated to important parts of the law like Bankruptcy Estate, Claims against the Estate, Executory Contracts, Fraudelent Conveyance, Preferences, DIPs, etc. Each chapter is no more than 20 pages, allowing the reader to get a very good birds-eye view of each topic.

                      While this is a high-level survey of the law, it is still one of the best books to read to develop a framework to tackle the more detailed aspects of the law. Highly recommended for anyone who wants a solid introduction to this field.

In fact, a dominant theme that permeates the book is that "The world is a collection of foods to enjoy", to borrow a quote from the book.

                            The author coins a term very early on. That term, "foodism", is defined as "prejudice against the food of other cultures", and the author makes a persuasive attempt to convince readers to free themselves of biases or preconceived notions they may harbor, either knowingly or unknowingly, against the food of cultures other than their own.

                            The book is well-structured for learning, with each chapter starting with a list of "Learning Objectives" and a "Chapter Outline". Each chapter ends with a list of "Selected Terms for Review", a list of "Review Questions", and a list of "Suggested Readings/Web Sites to Visit". The book also contains a glossary and an extensive bibliography.

                            Finally, the book includes a recipe CD that spans 192 pages. But the content of this CD is more than just a recipe collection; at numerous points, it provides additional instruction above and beyond that provided in the text of the book. The CD is a very substantial complement to the book!
